1. Introduction

Welcome to Society AI. These Terms of Use ("Terms") govern your access to and use of the Society AI application, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

The Service is operated by a company incorporated in the United Kingdom. Throughout these Terms, "we," "us," and "our" refer to the Service Provider, and "you" and "your" refer to you, the user.

2. Service Description

Society AI is an artificial intelligence platform that enables users to interact with AI-powered agents ("Agents") through a chat interface. The Service includes:

  • Access to AI Agents developed by us and verified third-party developers
  • A network infrastructure enabling Agent-to-Agent collaboration and orchestration
  • Payment processing for Agent usage via credit card or cryptocurrency

The Service utilises multiple third-party AI providers including, but not limited to, OpenAI, Anthropic (Claude), Google (Gemini), and xAI (Grok). Different Agents may utilise different AI providers, and the specific providers used may change without notice.

3. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

5. Payment Terms

5.1 Credits

The Service operates on a credit-based system. You must purchase credits to use paid features of the Service.

5.2 Credit Card Payments

You may purchase credits using a credit or debit card processed through Stripe. All credit card transactions are subject to Stripe's terms of service. When using this payment method, we handle all underlying cryptocurrency transactions on your behalf; you do not need to interact with cryptocurrency directly.

5.3 Self-Custodial Wallet Payments

Alternatively, you may connect a self-custodial cryptocurrency wallet to pay for services directly in USDC on the Base blockchain network. By connecting your wallet, you agree to:

  • Grant an allowance (approval) to our smart contract to transfer USDC on your behalf up to the amount you specify
  • Understand that we will deduct funds from this allowance as you use the Service
  • Accept that you may revoke this allowance at any time through your wallet or blockchain interface, which will prevent further usage until a new allowance is granted
  • Accept full responsibility for the security of your wallet, private keys, and seed phrases

5.4 Transaction Finality

All blockchain transactions are final and irreversible. We cannot reverse, cancel, or refund cryptocurrency transactions once confirmed on the blockchain.

5.5 Refunds

For credit card purchases, refunds are provided only as required by applicable law. Credits are non-refundable except where prohibited by law.

5.6 Price Changes

We reserve the right to modify pricing at any time. Price changes will be communicated in advance and will not affect credits already purchased.

6. Artificial Intelligence Disclaimers

The Service utilises artificial intelligence technologies provided by third parties. By using the Service, you acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or inappropriate material
  • AI Agents cannot guarantee the accuracy, completeness, or reliability of any information provided
  • You are solely responsible for evaluating and verifying any information, advice, or recommendations provided by Agents
  • You should not rely on Agent outputs for medical, legal, financial, or other professional advice without consulting qualified professionals
  • AI capabilities and responses may vary and are subject to the limitations of underlying AI models
  • We do not guarantee uninterrupted availability of any specific AI provider or model
  • We are not liable for any decisions made or actions taken based on AI-generated content

7. Third-Party Agents

The Service may include Agents developed by third-party developers ("Third-Party Agents").

7.1 Verified Agents

Some Third-Party Agents may be designated as "Verified," indicating that we have reviewed the Agent's code and functionality. Verification does not constitute a guarantee of performance, accuracy, safety, or fitness for any particular purpose.

7.2 Unverified Agents

Agents marked as "Not Verified" or "Unverified" have not been reviewed by us. You use Unverified Agents entirely at your own risk. We disclaim all liability for the behaviour, outputs, or consequences of using Unverified Agents.

7.3 Third-Party Terms

Third-Party Agents may be subject to additional terms and conditions imposed by their developers. It is your responsibility to review and accept such terms before using Third-Party Agents. Third-party developers are independent data controllers with respect to data processed by their Agents.

8. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, distribute, or store illegal content
  • Harass, abuse, threaten, or harm others
  • Attempt to circumvent Agent safety measures or content policies
  • Use Agents to generate spam, phishing content, or malware
  • Reverse engineer, decompile, or attempt to extract source code from Agents
  • Resell or redistribute Agent outputs without authorisation
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for any high-risk applications where AI errors could cause significant harm without appropriate human oversight
  • Impersonate other individuals or entities
  • Engage in fraudulent transactions or money laundering

We reserve the right to suspend or terminate accounts that violate these Terms without notice or refund.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by us and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, and process such content solely for the purpose of providing and improving the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR CRYPTOCURRENCY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We are not liable for:

  • Losses resulting from blockchain network failures, congestion, or transaction delays
  • Losses resulting from wallet compromise, private key loss, or user error
  • Losses resulting from actions taken based on AI-generated content
  • Fluctuations in cryptocurrency value
  • Actions or omissions of third-party AI providers or Third-Party Agent developers

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit or generate through the Service
  • Your use of a self-custodial wallet in connection with the Service

12. Termination

You may terminate your account at any time by contacting us at support@societyai.com or through account settings.

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms
  • Your use poses a security risk to the Service or other users
  • Required by law or regulatory authority
  • We cease operations

Upon termination:

  • Your right to use the Service ends immediately
  • Unused credits are non-refundable except as required by law
  • Cryptocurrency allowances remain under your control and can be revoked through your wallet
  • We may retain your data as required by law or legitimate business purposes, subject to our Privacy Policy

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@societyai.com.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
